Customer Service Agent terms

These Terms apply to the SYNIRIA Customer Service Agent. They were moved to this central page on 9 September 2026; the Terms remain dated 7 September 2026.

These Terms of Service (“Terms”) govern your access to and use of Syniria’s AI customer-service agent platform (the “Service”). By creating an account or using the Service, you agree to these Terms. If you are using the Service on behalf of an organization, you represent that you are authorized to bind it. If you use the Service for your own professional activity, you agree in your own name.

1. The Service

Syniria lets businesses (“Clients”) deploy an AI agent that answers messages on their connected Instagram, Facebook, and WhatsApp accounts, captures leads and bookings, and answers questions from a catalog and knowledge sources the Client provides.

2. Accounts and eligibility

The Service is offered only for business or professional use, not personal, family, or household consumer use. Individuals may use it as sole proprietors, freelancers, or independent content creators; you do not need to form or register a company. You must provide accurate account information and keep your credentials secure. You are responsible for all activity under your account. Notify us immediately at info@syniria.com if you believe your account has been compromised. You must be at least 18 years old and legally able to enter into these Terms.

3. Your responsibilities

  • Use the Service lawfully and in compliance with the terms and policies of any connected platform (including Meta’s Platform Terms and messaging policies).
  • Ensure you have the necessary rights and consents to connect your channels, upload your content, and process the personal data of your end customers.
  • Provide any privacy notices to your end customers that applicable law requires, and respond to their data requests — for their data, you are the controller and Syniria is your processor.
  • Review and oversee your agent’s behavior; you are responsible for the messages it sends on your behalf.

4. Acceptable use

You agree not to use the Service to:

  • Send spam, or unlawful, deceptive, harassing, defamatory, or infringing content.
  • Distribute malware, or engage in phishing, impersonation, or fraud.
  • Generate or distribute illegal content, or content that infringes intellectual-property or privacy rights.
  • Violate the rights of others or any applicable law or platform policy.
  • Disrupt, reverse-engineer, probe, or gain unauthorized access to the Service or its systems, bypass rate limits or security controls, or conduct automated attacks.

5. AI-generated content

The agent’s responses are generated by automated AI systems and may be inaccurate, incomplete, or unsuitable for a given situation. The Service is a tool to assist your customer communication, not professional advice. You are responsible for configuring, monitoring, and correcting your agent, and for reviewing AI-generated responses before relying on them — in particular for any decisions affecting legal rights, financial matters, healthcare, safety, or regulatory compliance.

6. Third-party platforms and API changes

The Service integrates with third-party platforms (such as Meta’s Instagram, Facebook, and WhatsApp) and providers. Your use of those platforms is subject to their own terms. These third-party APIs and platforms may change, limit, or discontinue functionality at any time, which may affect the Service. Syniria is not responsible for changes, limitations, outages, or actions of third-party providers.

7. Changes to the Service

Syniria reserves the right, in its discretion, to introduce, modify, reallocate, or discontinue features, functionality, usage allowances, and benefits included in any subscription tier, and to change subscription prices and other fees. For existing paid subscriptions, price increases and material reductions in the features or allowances of your tier will take effect no earlier than your next renewal following at least 30 days’ advance notice by email or a prominent in-Service notice. You may cancel before the effective renewal to avoid renewing on the revised terms. Changes you expressly request or accept, such as a plan upgrade, take effect as disclosed when you make that change.

We may make changes sooner where reasonably necessary to comply with law, address a security threat or abuse, or respond to a third-party platform change outside our control. In those circumstances, we will notify affected Clients as soon as reasonably practicable. This section does not limit rights or remedies that cannot be excluded under applicable law.

8. Service availability

We strive to keep the Service available but do not guarantee uninterrupted or error-free availability. Maintenance, upgrades, outages, and third-party failures may temporarily affect access.

9. Free trial, fees, billing, and renewals

We may offer a free trial that does not require a payment method. The trial is limited — currently to 7 days and a fixed allowance of message credits, whichever is reached first — after which the agent stops responding until you subscribe to a paid plan. One credit pays for one completed, customer-visible AI response turn, even when that response contains multiple parts or images. Monthly credits expire at the end of their paid period. Separately purchased top-up credits do not expire, but they are available only while paid service or payment grace is active and are frozen during a billing hold. Trial limits may change. The free trial is limited to one per account and one per connected channel; we may withhold or revoke trials we believe are being abused (for example, creating multiple accounts or reconnecting the same channel to obtain repeated trials). During the trial the agent may respond to your real customers, and you are responsible for those interactions as with any other use of the Service.

Paid plans are billed on a recurring subscription basis at the rates shown at signup. By subscribing, you authorize us (through our payment provider) to charge your payment method on a recurring basis until you cancel. Fees are charged in advance and are non-refundable except as expressly provided in these Terms or required by law. Advertised prices are in USD and exclude applicable taxes; where Syniria is required to collect tax, it is added to your charge. Providing a company registration number or tax ID is optional unless applicable law or the payment process requires it. If a renewal payment cannot be processed, we may provide limited payment grace and then suspend or terminate your subscription. You can cancel at any time; your plan remains active through the end of the current billing period, and no refund is issued for the current period except as expressly provided in these Terms or required by law. Changes to prices and subscription tiers are governed by section 7.

If you believe a charge is incorrect, contact info@syniria.com promptly with the invoice reference and a description of the issue. We will investigate and explain the outcome, and correct confirmed billing errors through an appropriate refund or credit. This process does not restrict any dispute rights available under applicable law.

10. Beta and preview features

We may offer beta or preview features. These are provided “as is,” may be unstable, and may be changed or discontinued at any time without notice.

11. Feedback

If you provide suggestions, feedback, or ideas about the Service, you grant Syniria a perpetual, irrevocable, royalty-free right to use them without restriction or compensation.

12. Content and intellectual property

As between you and Syniria, you retain all ownership rights in the content you provide, including your business information, uploaded knowledge, catalogs, and end-customer data. You grant Syniria the limited rights needed to host and process that content to operate the Service for you. Syniria retains all rights in the Service itself, including its software, design, and trademarks. No ownership or intellectual-property rights are transferred to you except the limited right to use the Service under these Terms.

13. Suspension and termination

You may stop using the Service and close your account at any time. Subject to the notice and remedy provisions below, we may suspend or terminate access if, for example: there is a security threat; we suspect fraud or abuse; there is excessive resource usage; we receive a legal request; or you violate these Terms or a connected platform’s policies. On termination, your right to use the Service ends and we will handle your data as described in our Privacy Policy.

For a material breach that can reasonably be remedied, either party may terminate these Terms if the other party does not remedy the breach within 30 days after written notice describing it. This does not prevent immediate suspension where reasonably necessary to address a security threat, fraud, abuse, legal requirement, or harm to the Service or others. Where practicable, we will explain the reason for suspension and the steps needed to restore access. If you terminate because Syniria fails to remedy its material breach within that notice period, we will refund prepaid subscription fees attributable to the unused remainder of the subscription period. Ordinary cancellation remains subject to section 9.

14. Disclaimers

The Service is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that AI outputs will be accurate. The Service does not provide legal, medical, financial, tax, or other professional advice.

15. Limitation of liability

To the maximum extent permitted by law, Syniria will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, data, or goodwill. Our total liability for any claim relating to the Service will not exceed the amount you paid us for the Service in the 12 months before the claim. Some jurisdictions do not allow certain limitations of liability, so portions of this section may not apply to you.

16. Indemnification

You agree to indemnify and hold Syniria harmless from claims arising out of your content, your use of the Service, or your breach of these Terms or of any law or third-party platform policy.

17. Force majeure

We are not liable for any delay or failure to perform caused by events beyond our reasonable control, including natural disasters, internet or utility outages, labor disputes, governmental actions, cyberattacks, or failures of third-party providers.

18. Export control and sanctions

You may not use the Service in violation of U.S. export-control or sanctions laws. You represent that you are not located in, or a resident of, a country or region subject to comprehensive sanctions, and that you are not on any restricted-party list.

19. Governing law

These Terms are governed by the laws of the State of Wyoming, United States, without regard to its conflict-of-laws rules. Any disputes will be subject to the courts located in Wyoming, unless otherwise required by applicable law.

20. General

  • Assignment. You may not assign these Terms without our consent; Syniria may assign them in connection with a merger, acquisition, or sale of assets.
  • Entire agreement. These Terms are the entire agreement between you and Syniria regarding the Service, together with any applicable order and data processing agreement agreed with you, and supersede prior agreements on the same subject. An agreed data processing agreement controls in the event of a conflict concerning the processing of personal data.
  • Severability. If any provision is found unenforceable, the remaining provisions remain in effect.
  • Waiver. Our failure to enforce any provision is not a waiver of it.
  • Survival. Sections relating to intellectual property, payment obligations, confidentiality, disclaimers, limitation of liability, indemnification, and governing law survive termination.

21. Changes to these Terms

We may update these Terms from time to time. We will provide at least 30 days’ advance notice of material changes by email or a prominent in-Service notice, unless a shorter period is reasonably necessary for legal or security reasons. The notice will explain when the changes take effect. Pricing and tier changes remain subject to section 7. We will update the policy version and date and may require you to expressly accept the revised Terms before continuing to use the Service. You may stop using the Service and cancel renewal if you do not agree to the revised Terms.

22. Confidentiality

Each party will protect the other party’s nonpublic information that is identified as confidential or should reasonably be understood to be confidential, including Client business documents, catalogs, conversations, and nonpublic technical or commercial information. The receiving party will use it only to perform or exercise rights under these Terms, protect it with reasonable care, and disclose it only to people and service providers who need access for that purpose and are bound by confidentiality obligations.

These obligations do not apply to information that becomes public without breach, was already lawfully known, is independently developed, or is lawfully received without a confidentiality restriction. A party may disclose information where legally required, giving advance notice where legally permitted and reasonably practicable. Privacy and data processing obligations continue to apply to personal data. Feedback rights do not authorize disclosure of Client confidential information. We will obtain your prior written consent before using your name or logo to identify you as a customer in marketing.
